1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the ReasonTele platform and services provided by ReasonTele, Inc. ("ReasonTele," "we," "our," or "us"). By accessing or using our platform, you agree to be bound by these Terms. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
ReasonTele provides a cloud-based teleconsultation platform that connects healthcare facilities with board-certified behavioral health specialists. The platform includes automated consult dispatch, HIPAA-compliant video communication, AI-assisted clinical documentation, SLA monitoring, and EMR integration capabilities.
ReasonTele is a technology platform. We do not provide medical services, medical advice, or clinical care. The specialists on our platform are independent licensed professionals responsible for their own clinical decisions and standard of care.
3. Account Registration
To use the platform, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use of your account.
Specialist users must provide accurate licensure, board certification, and DEA registration information. Misrepresentation of credentials is grounds for immediate account termination.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable healthcare regulations
- Share, transfer, or provide access to your account to any unauthorized person
- Attempt to gain unauthorized access to any part of the platform, other accounts, or related systems
- Interfere with or disrupt the integrity or performance of the platform
- Reverse engineer, decompile, or disassemble any part of the platform
- Use the platform to transmit malware, viruses, or other harmful code
- Use automated means to access the platform without our written permission
- Use PHI obtained through the platform for any purpose other than providing clinical care
5. HIPAA and Privacy
Healthcare facility customers that are HIPAA covered entities will enter into a Business Associate Agreement (BAA) with ReasonTele as part of the onboarding process. All users must comply with HIPAA and applicable state privacy laws when using the platform to access or transmit protected health information.
6. Intellectual Property
The platform, including all software, designs, text, graphics, and other content, is owned by ReasonTele and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during the term of your subscription.
Clinical documentation generated through the platform (consult notes, assessments) belongs to the treating specialist and/or the requesting facility in accordance with applicable medical records laws.
7. Payment and Subscription
Platform access is provided through a subscription agreement. Pricing, payment terms, and renewal conditions are specified in your subscription agreement. Failure to pay may result in suspension or termination of access.
8. Service Level Agreement
Platform availability and performance commitments are defined in the Service Level Agreement (SLA) included in your subscription agreement. ReasonTele targets 99.9% platform uptime, excluding scheduled maintenance windows.
9. Limitation of Liability
To the maximum extent permitted by law, ReasonTele shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the platform. ReasonTele is not liable for clinical outcomes, medical decisions, or the standard of care provided by specialists using the platform.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to ReasonTele in the twelve months preceding the claim.
10. Disclaimer of Warranties
The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or completely secure.
11. Termination
Either party may terminate the subscription in accordance with the terms of the subscription agreement. We may suspend or terminate your access immediately if you violate these Terms, fail to pay, or if required by law. Upon termination, your right to use the platform ceases immediately. We will make your data available for export for 30 days following termination.
12. Indemnification
You agree to indemnify and hold harmless ReasonTele and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Travis County, Texas.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the modified Terms.
